Welcome to Naypp!
These Terms of Use (hereinafter referred to as the "Terms") govern your use of Naypp (unless it is expressly stated that separate terms apply) and contain information about the Naypp Service (hereinafter referred to as the "Service"), as outlined below. By creating a Naypp account or using Naypp, you accept these terms.
The Naypp Service is a single product provided to you by Naypp SRL. Therefore, these Terms of Use constitute an agreement between you and Naypp SRL.
The Naypp Service
We agree to provide you with the Naypp Service. The Service includes all products, features, applications, services, technologies, and Naypp software that we provide to fulfill Naypp's mission — to help you stay connected with important people in your life and stay informed about what interests you. The Service includes the following components:
We offer personalized features for creating and discovering content, communicating, and exchanging experiences with others.
Everyone is different, so we provide various types of accounts and capabilities to help you create content and share it with others, find like-minded individuals, and communicate within Naypp and beyond. We also aim to strengthen your relationships by facilitating the sharing of experiences and discussing what matters to you.
To achieve this, we develop systems that analyze your interests and those of others. We use this information to assist you in creating or discovering engaging content, keeping track of what others share, and sharing with them what matters to you. Additionally, we curate content, features, offers, and accounts that may interest you, and provide opportunities to use Naypp based on your actions and the actions of others within and outside the Naypp service.
We strive to create a positive, inclusive, and safe environment.
We develop and utilize tools and offer resources to participants in our community to ensure a positive and inclusive environment for all users, especially when they may need assistance. We have teams and systems in place to address abuse and violations of our Terms and rules, as well as harmful and misleading activities. We use all available information, including yours, to ensure the security of our platform. We may also share information about misuse or harmful content with other companies or law enforcement agencies. For more information, please refer to our Privacy Policy.
We develop and use technologies that help us support our growing community.
Organizing and analyzing information within the Naypp community are crucial for our Service. A significant component involves creating and employing advanced technologies to personalize, protect, and enhance our Service for a diverse global community. Technologies such as artificial intelligence and machine learning enable us to implement sophisticated processes in our Service. Automated technologies also assist us in ensuring the functioning and integrity of our Service.
To ensure the operation of our global Service, we need to store and transmit data between our systems worldwide, including outside the country where you reside. The use of this global infrastructure is essential and integral to providing our Service. Naypp SRL or its affiliated companies may own or operate this infrastructure.
We use data from Naypp, as well as from third-party partners, to show you advertisements, offers, and other promotional content that we believe will be relevant to you. Our aim is to ensure that this content is as relevant to you as other materials you see on Naypp.
We use the information available to us to study our Service and collaborate with others to conduct research aimed at improving and enhancing the emotional well-being of our community.
Funding our Service
You won't be charged for using Naypp. However, by using the Service covered by these Terms, you acknowledge that we may show you advertisements paid for by companies and organizations promoting their goods and services on Naypp and beyond. We use your personal data, such as information about your actions and interests, to show you the most relevant advertisements.
We display relevant and useful advertisements to you without disclosing your identity to advertisers. We do not sell your personal data. We allow advertisers to inform us about their business objectives and target audience they wish to reach with their advertisements. We then display their advertisements to people who may find them relevant.
We also provide advertisers with reports on the effectiveness of their advertisements, helping them understand how people interact with their content on Naypp and beyond. Thus, we provide advertisers with aggregate demographic data and interest information to give them a clearer picture of their audience. We do not provide anyone with information that could identify you (such as your name and email address, which can be used to contact you or identify you) without your explicit permission. You may see branded content on Naypp posted by account owners who promote products or services as part of commercial relationships with business partners mentioned in the content. Learn more about this here.
Privacy Policy
To provide our Service, we need to collect and use your information. Our Privacy Policy explains how we collect, use, and disclose information on Naypp. It also outlines various ways you can manage your information, including through Naypp's Privacy and Security Settings. To use Naypp, you must accept the Privacy Policy.
Your commitments
In exchange for our commitment to provide the Service, you must assume the following obligations to us.
Who can use Naypp.
We want our Service to be as open and accessible as possible, but at the same time safe, secure, and compliant with the law. Therefore, to be part of the Naypp community, you must adhere to certain restrictions.
You must be at least 13 years old or meet the minimum age required by law in your country to use Naypp.
You must not be prohibited from receiving any component of our Service under applicable laws or using payment-related Services if you are on active prohibited lists.
Your account must not have been previously disabled by us for violation of the law or any of our rules.
You must not have been convicted of a sexual offense.

Providing a safe and open Service to a broad community requires each of us to adhere to rules.
You are not allowed to impersonate others or provide inaccurate information.
While you are not required to disclose your identity on Naypp, you must provide us with accurate and current information (including registration information), which may include personal data. Additionally, you are not allowed to impersonate individuals you are not, or represent companies you are not affiliated with, nor create accounts for others without their explicit permission.
You are not allowed to engage in illegal, deceptive, misleading, or fraudulent actions, or any actions for illegal or unauthorized purposes.
You are not allowed to violate (or assist others in violating) these Terms or our rules, including, among others, the Naypp Community Guidelines and Music Guidelines.
When publishing branded content, you must comply with our Branded Content Policies, which require the mandatory use of our branded content tools. For more information on how to report behavior or content, you can visit our Help Center.
You are not allowed to interfere with the normal operation of the Service or disrupt its functionality.
This includes misuse of complaint, dispute, or appeal channels, such as submitting fraudulent or unfounded complaints or appeals.
You are not allowed to attempt to create accounts, collect information, or access information through unauthorized means.
This includes creating accounts or gathering information using automated methods without our explicit permission.
You are not allowed to sell, license, or buy any accounts or data obtained from us or through our Service.
This includes attempting to purchase, sell, or transfer any account data (including your username), requesting, collecting, or using login credentials or badges of other users, and requesting or collecting usernames and passwords on Naypp or impersonating others.
You are not allowed to publish personal or confidential information of users without permission or otherwise violate anyone's rights, including intellectual property rights (such as copyright infringement, trademark rights, distribution of counterfeit or pirated goods).
You may use others' works in accordance with exceptions or limitations related to copyright and neighboring rights as provided by applicable law. You certify that you own the content you publish or share, or have obtained all necessary rights to it. You are not allowed to modify, translate, or reverse-engineer any of our products or their components, or attempt to create derivative works based on them.
You are not allowed to use a domain name or URL in your username without our prior written consent.
Permissions you grant us.
As part of our agreement, you also grant us the permissions necessary to provide the Service.
We do not claim ownership rights to your content, but you grant us a license to use it.
Your rights to your content remain unchanged. We do not claim ownership of your content that you post on or through the Service, and you are free to share it with anyone at any time. However, we need certain legal permissions (referred to as a 'license') from you to provide the Service. When you post or upload intellectual property content (such as photos or videos) to our Service or share such content in connection with our Service, you grant us a non- exclusive, royalty-free, worldwide license with the right to sublicense, to store, use, distribute, modify, publish, perform, display, translate, and create derivative works of your content (consistent with your privacy settings and applications). The license expires when your content is deleted from our systems. You can delete content individually or all at once by deleting your account. Permission to use your username, profile picture, and information about your relationships and actions in connection with accounts, advertisements, and promotional content.
You grant us permission to display your username, profile picture, and information about your actions (such as likes) or relationships (such as subscriptions) alongside or in connection with accounts, advertisements, offers, or other sponsored content that you subscribe to or interact with on Naypp, without any compensation to you. For example, we may show information that you have liked a sponsored post created by a brand that has paid us to display their advertising on Naypp. Just like with other content actions and subscriptions to other accounts, actions with sponsored content and subscriptions to advertising accounts can only be seen by people you've allowed to see such content or subscriptions. Yes, you agree that we may download and install updates to the Service on your device.
Additional rights that we reserve
If you choose a username or a similar identifier for your account, we reserve the right to change it if we deem it appropriate or necessary (for example, if it infringes on someone's intellectual property rights or if you impersonate another user).
If you use content that is subject to intellectual property rights owned by us and provided by us in our Service (for example, when creating or publishing content, you may incorporate images, designs, videos, or sounds provided by us), we retain all rights to our content (but not to your content).
You may use our intellectual property and trademarks only as permitted by our Brand Usage Guidelines (and only in accordance with them), or with our prior written permission.
You must obtain written permission from us or permission within the scope of an open license before modifying, creating derivative works, decompiling, or attempting in any other way to obtain our source code.
Content Removal and Temporary or Permanent Deactivation of Your Account
We have the right to remove any content or information you share on the Service if we believe it violates these Terms of Use or our policies (including our Naypp Community Guidelines), or if it is permitted or required by law. We have the right to refuse or immediately terminate your access to the Service in whole or in part to protect our community or services, or if you create risk or legal exposure for us, violate these Terms of Use or our policies (including our Naypp Community Guidelines), repeatedly infringe other people's intellectual property rights, or if it is permitted or required by law. We also have the right to terminate or modify the Service, remove or block content or information posted on our Service, or terminate the provision of the Service in whole or in part if we determine that there is a reasonable need to prevent or mitigate adverse legal or regulatory impacts on us. If you believe your account was disabled by mistake, or you want to disable or permanently delete your account, visit our Help Center. If you request the deletion of content or your account, the deletion process will begin automatically no later than 30 days after the request is submitted. Once the deletion process begins, it may take up to 90 days for the content to be deleted. During the deletion process, the content will not be visible to other users, but it will still be subject to these Terms of Use and our Data Use Policy. After the content is deleted, it may take up to an additional 90 days to remove it from backups and disaster recovery systems.
Content will not be deleted within 90 days from the initiation of the account or content deletion process in the following cases:
If your content has been used by other users in accordance with this license and they have not deleted it (in such a case, this license will continue to be in effect until the content is deleted);
If deletion within 90 days is not possible due to technical limitations of our systems (in such a case, we will complete the deletion as soon as it becomes technically feasible); or
If deletion would limit our ability to:
investigate or detect illegal activities or violations of our terms and policies (for example, to investigate or detect misuse of our products or systems);
ensure the protection and security of our products, systems, and users;
comply with legal obligations, such as preserving evidence; or
comply with a request from a judicial or administrative authority, law enforcement, or a government agency;
in which case the content will be stored no longer than necessary for the purposes for which it was retained (the exact duration of storage will depend on the specific circumstances).
If you delete or we disable your account, these Terms will cease to apply as an agreement between you and us; however, the provisions of this section and the section 'Our Agreement and What Happens if We Disagree' will remain in effect even after termination, disabling, or deletion of your account.

Our agreement.
When you use music in the Service, it is also governed by our Music Guidelines, and your use of our APIs is governed by the Naypp Platform Terms of Use and Developer Rules. If you use certain other features or related services, additional terms will be provided to you, which will also become part of our agreement with you. For example, if you use payment features, you will need to accept the Community Payment Terms. In case of any conflict between such terms and this agreement, those terms will prevail.
If any aspect of this agreement is not legally enforceable, the remaining aspects remain in force.
Any amendments to our agreement or waivers must be made in writing and signed by us. Our failure to enforce any aspect of this agreement does not constitute a waiver of it.
We reserve all rights not expressly granted to you.
Who has rights under this agreement.
This agreement does not confer any rights to third parties.
You are prohibited from transferring your rights or obligations under this agreement without our consent.
We may assign our rights and obligations to others. For example, this may happen in the event of a change of ownership (through merger, acquisition, or asset sale) or by law.
Who will be responsible if something happens.
Our Service is provided "as is," and we cannot guarantee its security, reliability, and flawless operation. To the extent permitted by law, we also disclaim all express or implied warranties, including warranties of merchantability, fitness for a particular purpose, non- infringement of intellectual property rights, and absence of defects.
We also do not control the statements and actions of individuals and other users, and we are not responsible for their (or your) actions and behavior (online or offline) or content (including unlawful or objectionable content). Additionally, we are not responsible for services and features offered by other individuals or companies, even if you access them through our Service.
Our liability for anything that happens in the Service (also referred to as "liability") is limited to the maximum extent permitted by law. In case of issues with our Service, we cannot foresee all possible consequences. You agree that we will not be liable for any lost profits or revenue, lost information or data, or indirect, punitive, or incidental damages arising out of or related to these Terms, even if we were aware of the possibility of such damages. This provision also applies to our deletion of your content, information, or account.
How we resolve disputes.
If you are a consumer, any claims, causes of action, or disputes between you and us arising out of or related to these Terms
("claim") are governed by the laws of the country where you reside, and you may resolve your claim in any competent court in that country whose jurisdiction extends to such claims. In all other cases, you agree that the claim must be resolved exclusively in the Federal District Court for the Northern District of California or in a state court located in San Mateo County, you submit to the personal jurisdiction of either of these courts for the purpose of litigating any such claim, and these Terms and any claim are governed by the laws of the State of California without regard to its conflict of law provisions. Notwithstanding the foregoing, you agree that Naypp SRL may, at
its discretion, bring a claim against you related to the unauthorized use of our products, interference with their operation, or unauthorized interaction with them, and file it in a court in the country where you reside, whose jurisdiction extends to such claims.
Materials presented at your initiative.
We value feedback and other recommendations, but we reserve the right to use them without any restrictions or obligations to compensate you, and we are not required to keep them confidential.
Update of these Terms
We may change our Service and rules, and we may need to update these Terms to accurately reflect our Service and rules. Unless required by law, we will notify you (for example, through our Service) before making changes to these Terms and give you the opportunity to review such changes before they take effect. If you continue to use the Service after that, you must comply with the updated Terms. If you do not agree with these Terms or any updated version of the Terms, you may delete your account here.
